Supplemental Managed Accounts Terms
Effective date: 9 April 2025
These Supplemental Managed Accounts Terms ("Terms") are an agreement between the person or entity accepting these Terms ("Customer" or "you") and Meta.
These Terms apply to your access to and use of Managed Accounts and are effective upon the earlier of the date that you accept to be bound by these Terms by: (i) clicking to accept these Terms (or any Applicable Service Terms); or (ii) creating a customer instance for Managed Accounts (the "Effective Date"). If you are accepting on behalf of a legal entity, you represent and warrant that you have full authority to bind it to these Terms. You and Meta may be referred to herein individually as a "Party" or collectively as the "Parties".
These Terms incorporate by reference the Meta Commercial Terms, the Meta Global Processor Terms, the Community Payment Terms and any other applicable written terms and policies provided by Meta that apply to your use of Managed Accounts. Capitalised terms used but not defined in these Terms (either within the body of these Terms or within Section 8 below) are as defined in the Meta Global Processor Terms (as applicable pursuant to Section 3 below).
General Terms.
- Accessing Managed Accounts. During the Term, and subject to your compliance with these Terms, Meta hereby grants to you a limited, non-exclusive, non-sublicensable (except as expressly set forth herein), and non-transferable right to access and use Managed Accounts solely as set forth in these Terms. In order to access and use applicable Services, you must first set up a customer instance for the Services and then provision Managed Accounts.
- Meta ownership. No ownership rights are conveyed under these Terms to you, your Affiliates, your Managed Users or any other third party. Subject to section 3.b below, Meta and its licensors retain all rights, titles and interests (including all intellectual property rights) in and to Managed Accounts, any and all related and underlying technology, and any derivative works, modifications or improvements to any of the foregoing created by or on behalf of Meta, including any based on your Feedback. No rights are granted to you except as expressly set forth in these Terms.
- Feedback. If you submit comments, questions, suggestions, use cases or other feedback relating to your use of Managed Accounts (collectively, "Feedback"), and notwithstanding anything herein to the contrary, Meta and its designees may freely use or otherwise exploit such Feedback in connection with any of its products or services or those of its Affiliates, without obligation or compensation to you or any other third party.
- Beta Products. Meta may, from time to time, make modifications to the features and functionality of Managed Accounts. In addition, Meta may, from time to time, test additional products, services, features or functionalities relating to the provision of Managed Accounts (each, a "Beta Product") and may invite you to use such Beta Product for the purposes of product testing and providing Feedback to Meta. Except as otherwise agreed by the Parties in writing, these Terms, the Beta Product Testing Terms and any other additional terms that Meta may make available to you, will apply to your use of such Beta Product.
Managed Account Details.
- Meta Admin Centre. Managed Accounts may be managed through the "Meta Admin Centre", which is the administrator web service that allows you to provision, add, remove, authorise Managed Users and otherwise manage Managed Accounts.
- Responsibilities. You are responsible for (i) your and your Managed Users use of Managed Accounts including adherence to these Terms and all other applicable terms, policies and standards (including the Applicable Service Terms, any applicable Managed User terms and policies and the Acceptable Use Policy); and (ii) the management and administration of Managed Accounts and use of Meta Admin Centre as applicable, which may include setting up your customer instance of Meta Admin Centre and your decision to send Customer Data (including any Applicable Personal Data) to Meta through your use of Managed Accounts. You acknowledge and agree that in connection with your use of Managed Accounts, you will (a) comply with all applicable laws, including applicable privacy laws; (b) have all the necessary authorisations and consents from Managed Users and any applicable third parties relating to processing and use of Customer Data as specified in these Terms; and (c) have at least one (1) active administrator for Managed Accounts at all times. Where Meta determines that a Managed User has breached these Terms or the Applicable Service Terms, Meta may take enforcement action against the Managed User and the applicable Managed Account (which may include restricting account functionality, limiting access to data or content, or temporarily suspending or permanently disabling the account or related profile).
- Eligibility requirements. Managed Accounts are for individual Managed Users and are created and managed by you and cannot be shared or transferred without Meta's explicit permission. No individual Managed User may have more than one Managed Account associated with them. Managed Users must not be a person sanctioned by the US government without required approvals from the US government, must have a Managed Account provided to them by Customer, and must accept the applicable terms and conditions governing their access to and use of Managed Accounts.
Data Rights and Obligations.
- Customer data. You acknowledge and agree that you may provide and Meta may receive information submitted by you or Managed Users that personally identifies individuals (such as names, email addresses and phone numbers) while using the following web tools in connection with Managed Accounts: Meta Admin Centre and managed Account Centre, including Managed User account profile information ("Customer Data"). For the avoidance of doubt, Service Data is separate from Customer Data and is governed by the Applicable Service Terms.
- Rights to Customer Data. Pursuant to these Terms, you retain all right, title and interest in and to Customer Data and, during the Term, you grant to Meta a non-exclusive, worldwide, royalty-free, fully paid right to use Customer Data: (i) to provide and improve Managed Accounts and Services (including support); (ii) for billing purposes; (iii) to promote safety, integrity and security; and (iv) to comply with legal obligations.
- Data Sharing. You acknowledge and agree that Meta may need to share Customer Data with other services, apps, experiences, systems or organisations for billing purposes, to promote safety, integrity and security, to comply with legal obligations, to perform necessary functions and to provide access to other services, apps and experiences permitted by you or your Users. When so shared, the specific data that is shared may then be subject to the terms, policies and requirements that apply to such other services, apps, experiences, systems or organisations.
- Data Processing Terms. To the extent that Meta processes Applicable Personal Data within Customer Data (pursuant to these Terms) as a Processor, the Meta Global Processor Terms will apply. The parties also acknowledge that: the duration, subject matter, nature and purpose of the processing shall be as specified in these Terms; the types of Applicable Personal Data processed shall include those specified in the definition of Customer Data; the categories of data subjects include your Managed Users; your obligations and rights as Controller in relation to any Applicable Personal data within Customer Data are as set out in these Terms and the Meta Global Processor Terms; and the frequency of the data transfers are on a continuous basis for the duration of these Terms, unless otherwise expressly provided in these Terms.
- Other Information. You acknowledge and agree that Meta collects, stores and uses the following information in providing the Managed Accounts and the Services (excluding any Customer Data): (i) usage, log and functional information generated from your use of Managed Accounts; (ii) performance, diagnostics and analytics information and (iii) information related to your technical or other support requests ("Other Information"). Subject to these Terms and applicable law, Meta may share Other Information with its Affiliates, and Meta and its Affiliates will use it to develop, operate, provide, improve, understand, customise, support and market Meta's other services and products, and the services and products of Meta Affiliates. For the avoidance of doubt, Other Information collected pursuant to this subsection will be treated in accordance with the Meta Privacy Policy (located at facebook.com/privacy/policy/).
- Deletion of Customer Data. Meta will delete Customer Data in accordance with Section 2.1.d of the General Terms of the Meta Global Processor Terms, provided that you acknowledge and agree that deleted content may persist in backup copies for a reasonable period of time while deletion is carried out.
- Sub-processors: You acknowledge and agree that in connection with the provision of Managed Accounts, Meta has contracted with Subprocessors to act as its Sub-processors of Applicable Personal Data in Customer Data.
Data security.
- Security of Customer Data. Meta will use appropriate technical, organisational and security measures designed to protect Customer Data in Meta's possession against unauthorised access, alteration, disclosure or destruction in accordance with the Data Security Addendum. You must keep all login credentials confidential and will promptly notify Meta if you discover any unauthorised use of your Managed Accounts or login credentials.
- Legal Disclosures and Third-party Requests. You are generally responsible for responding to third-party requests regarding Customer Data, such as from regulators, Managed Users or a law enforcement agency ("Third-party Requests"), but you understand that in response to a Third-party Request, Meta may disclose Customer Data to the extent required to comply with its legal requirements.
- Backups. Meta does not provide an archiving service, and you are solely responsible for creating backups of all your data, including your Customer Data.
Term and termination.
- Term. The term of these Terms will begin on the Effective Date and will remain in full force and effect until the earlier of: (i) deletion of your customer instance for Managed Accounts; (ii) cancellation or termination of all of the Services utilising Managed Accounts; or (iii) these Terms otherwise being terminated (the "Term").
- Termination by you. You may terminate these Terms at any time, for no reason or any reason, by your administrator electing to delete your Managed Account instance.
- Termination/suspension by Meta. Meta may immediately terminate these Terms at any time, for no reason or any reason, by (i) deleting your Managed Account instance; or (ii) by giving notice to you, including to the email address assigned to the Customer's account or through messages or posts within a Managed Account. Meta may also suspend your and Managed User's access to or use of Managed Accounts, without notice, if: (a) you breach these Terms; (b) Meta terminates, suspends or otherwise removes your access to any of the Services; (c) Meta deems such action necessary to prevent harm to the security, stability, availability or integrity of Managed Accounts or other Meta products or services; or (d) required by law.
- Survival. Sections 1 and 3-8 will survive any termination or expiry of these Terms.
Changes. Meta may make changes to these Terms at any time. Before Meta makes changes to the Terms that have a material adverse impact on your access to or use of Managed Accounts (unless the changes are required for safety, integrity or security purposes or to comply with applicable law), Meta will provide you with 30 days advance notice by any reasonable means (each, a "Change"). By continuing to use Managed Accounts thirty (30) days after notice of a Change, you shall be deemed to have consented to such Change.
Miscellaneous. For the avoidance of doubt, Managed Accounts constitute a "Meta Product" for the purposes of the Meta Commercial Terms and the Community Payment Terms. Without prejudice to Section 1.3 of the General Terms of the Meta Global Processor Terms, in the event of any conflict or inconsistency between the provisions of these Terms and any other terms, the provisions of these Terms will control (but only with respect to the subject of these Terms). Meta may assign its rights or delegate its obligations freely. Meta's choice not to enforce rights does not waive them. Invalid or unenforceable terms are severable and do not affect other terms' validity or enforceability. These Terms (and any other terms incorporated by reference into them) are the entire agreement between the parties and supersede all prior agreements with respect to the use of Managed Accounts. Terms such as "including" are to be construed without limitation. Remedies under these Terms, including rights to terminate, are cumulative and without prejudice to other remedies.
Definitions.
- "Applicable Service Terms" means each agreement, contract or written instrument, product terms or service terms that incorporates by reference these Terms.
- "Community Payment Terms" means the terms found at https://www.facebook.com/payments_terms (or a successor location).
- "Managed Accounts" means both the: (i) the tools, features and software that Meta provides to enable you to create, provision and administrate accounts for access to Services, including (but not limited to) Meta Admin Centre and Managed Accounts Centre; and (ii) the accounts provisioned to Managed Users mentioned in (i) and the related instance set up by the Customer. For the avoidance of doubt, the Services do not fall within this definition.
- "Meta Commercial Terms" means the terms found at https://www.facebook.com/legal/commercial_terms (or a successor location).
- "Managed Users" means the personnel, agents, subcontractors or other individuals that you permit to use the Services through Managed Accounts (including, as and where applicable, administrators of your customer instance).
- "Meta" means Meta Platforms Ireland Limited (if you are a person located, or an entity with your principal place of business, in the European Economic Area or Switzerland) or Meta Platforms, Inc. (if you are a person located, or an entity with your principal place of business, outside the European Economic Area or Switzerland).
- "Meta Global Processor Terms" means the terms found at https://www.facebook.com/legal/terms/Meta-Global-Processor-Terms (or a successor location).
- "Meta Horizon Managed Solutions Terms of Service" means the terms found at https://forwork.meta.com/legal/mfw-terms-of-service/ (or a successor location).
- "Service Data" means any data shared with Meta by the Customer pursuant to the Applicable Service Terms, with respect to the Services, excluding Customer Data or Other Information.
- "Services" means the services and products provided by Meta under the Applicable Service Terms. For the avoidance of doubt, any Meta services provided pursuant to the Meta Horizon Managed Solutions Terms of Service do not fall within this "Services" definition.
- "Subprocessors" means the named entities identified by Meta at forwork.meta.com/legal/mfw-subprocessor-list/ (or a successor location) as may be updated from time to time.
